Mergers and Acquisition Advisory

We serve as an intermediary to assist our clients in the process of buying or selling small and "middle-market" businesses. Our focus is on transactions ranging from $2 Million to $100 Million in transaction value. We locate and initiate discussions with potential buyers or sellers, and we also assist with transaction due diligence work. We draw on our principals' backgrounds in accounting, law, and finance to work closely with the client's accounting, tax, legal, and other professional advisors and ensure a smooth purchase or sale. Additionally, our experience in middle-market corporate finance allows us to design a financing package that allows the transaction to close quickly and efficiently.

Financial Advisory

Finding the best financing solutions among the wide array of choices available today can be a daunting challenge. We assist our clients by minimizing the time necessary to acquire loans or other forms of capital and by freeing the client's management team to remain focused on operations. We identify appropriate solutions for our clients' capital needs, including secured revolving facilities, working capital lines, senior and subordinated debt, term loans, restructuring and turnarounds, and refinancing. We analyze the client's financial data and consider the transaction criteria of a wide variety of financial institutions in order to match the client with the institutions best suited to meet the client's needs. Finally, we review the terms and conditions of the proposed loan facility or other financing solution and advise the client as to the best opportunities for success.

Among the services we provide in this area are assessments of business operations and management teams, refinement of business plans and financial models, and development of funding and exit strategies.

Merchant Banking

Through in-house resources and strategic relationships with sources of institutional and private capital, we provide merchant banking services to management groups and entities interested in strategic or financial acquisitions, industry consolidations, and other corporate finance transactions.
